NDT Global acquires Entegra to expand gas pipeline inspection capabilities

Deal brings together complementary technologies, aims to accelerate innovation in pipeline integrity

NDT Global, a leading provider of advanced diagnostic inspection and integrity solutions for the energy sector, is proud to announce the acquisition of Entegra, a premium technology company specializing in Ultra-High-Resolution Magnetic Flux Leakage (UHR MFL) in-line inspection services.

NDT Global, a global provider of in-line inspection and integrity solutions for the energy sector, has acquired Entegra, a leading U.S.-based specialist in ultra-high-resolution magnetic flux leakage (UHR MFL) in-line inspection services. The strategic acquisition brings together two technology leaders and significantly expands NDT Global’s presence in the gas pipeline market.

By combining Entegra’s market-leading MFL tools with NDT Global’s ultrasonic testing (UT), acoustic resonance (ART), and data management platforms, the merged entity aims to provide a broader, more integrated portfolio of high-performance pipeline integrity solutions. The deal also strengthens NDT Global’s ability to deliver both axial and circumferential inspection capabilities—critical for assessing corrosion, third-party damage, and other integrity threats across a wide range of pipeline assets.

Founded and led by CEO Mark Olson, Entegra has built a strong reputation in North America for its high-resolution axial and circumferential MFL inspection technologies, caliper tools, cathodic protection current mapping, and GPS pipeline mapping. Olson said the deal will help fast-track the company’s growth and technological ambitions.

“Our purpose is to make better every pipeline with which we interact, and this deal accelerates that quest by several years,” said Olson. “I can’t thank Amberjack Capital enough for their support over the last decade, and I’m excited about what we’re going to achieve in the next phase of our journey.”

NDT Global is owned by Novacap, a private equity firm with over C$11 billion in assets under management, with additional investment support from La Caisse (formerly Caisse de dépôt et placement du Québec). The acquisition was backed by equity and debt financing provided by Novacap and La Caisse. Key management from both NDT Global and Entegra will remain shareholders in the newly combined company.

Complementary strengths, expanded global reach

Paul Cooper, President of NDT Global, said the addition of Entegra’s services enhances the company’s ability to support a broader range of inspection needs, particularly in the gas transmission market.

The merger follows NDT Global’s previous integration with Dynamic Risk and reflects a broader strategy to build an industry-leading platform across key inspection technologies. Entegra’s strengths in MFL complement NDT’s legacy in ultrasonic inspection and diagnostic tools, creating a one-stop solution for pipeline operators seeking precise, actionable data to inform maintenance, regulatory compliance, and capital planning.

David Lewin, Lead Senior Partner at Novacap, said the transaction aligns with NDT’s growth objectives and positions the company to play a larger role in global infrastructure integrity.

Advisors and ownership transition

The transaction was facilitated by several advisors. McCarthy Tétrault LLP and Willkie Farr & Gallagher LLP served as legal advisors to NDT Global, with Jefferies LLC acting as exclusive financial advisor. Sidley Austin LLP represented Entegra, while Baird acted as its exclusive financial advisor.

Prior to the deal, Entegra was majority-owned by Amberjack Capital Partners and a group of co-founders. Amberjack, a Houston-based private equity firm focused on infrastructure and environmental services, had been an early institutional backer of Entegra and helped scale the company over the past decade.

Its solutions are used to detect and assess internal and external corrosion, cracks, weld anomalies, and other integrity threats.

Entegra, headquartered in the U.S., delivers ultra-high-resolution MFL inspections, pipeline mapping, and cathodic protection analysis to pipeline operators across North America.
